Terms of Use

Welcome to Mindli, a service provided by techmaker.io. These Terms of Use ("Terms") govern your access to and use of the Mindli mobile application (iOS and Android), website (mind.li), browser extension (Chrome), and related services (collectively, the "Service").

Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy (opens in new tab). If you do not agree to these Terms, you may not use the Service.

2. Eligibility

2.1. By creating an account or using the Service, you affirm that you are at least the Minimum Legal Age of Consent in your jurisdiction, or that you possess valid parental or guardian consent and are fully competent to enter into and comply with these Terms.

2.2. If you are under 13, you may not use Mindli. If you are between 13 and 18, you must have permission from a parent or guardian.

3. User Account

3.1. To use our services, you must create a personal account. You agree to provide accurate information during registration and keep it updated.

3.2. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3. Accounts are personal and individual. You may not share, sell, or transfer your account to another person.

4. Your Content and Our Service

4.1 Core Service

The Service uses advanced AI models to process your uploaded content (lectures, PDFs, YouTube videos, web articles, voice recordings) and generate learning materials including transcriptions, summaries, flashcards, quizzes, podcasts, and other study aids.

4.2 User-Created Content

The Service provides a rich notes editor that allows you to create, edit, format, and organize your own study, learning, and work notes. User-created notes exist independently of AI-generated content within your personal knowledge base.

4.3 License to Your Content (Input & Generated Materials)

The Service allows you to upload, input, or submit text, documents, audio, video, and other data ("Input") and to generate new content such as summaries, flashcards, quizzes, and podcasts ("Generated Materials," and together with Input and user-created notes, "Content").

You retain all ownership rights in your Input and in notes you create using the rich notes editor.

Ownership of Generated Materials: Subject to your compliance with these Terms, including payment for any required credits, and to the extent permitted by applicable law, we assign to you all rights, title, and interest in and to the Generated Materials created for you. This means you own your Generated Materials and may use them for any lawful purpose at your discretion.

4.4 License to Us

By submitting Content, you grant techmaker.io a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, and process the Content solely for the purpose of operating, improving, and developing the Service (e.g., processing content through AI models, optimizing algorithms, and improving service quality).

4.5 Prohibited Content and Use

You agree not to use the Service to upload, process, or generate any Content that:

  • Is unlawful, harmful, threatening, defamatory, obscene, or racially or ethnically objectionable.
  • Infringes or violates any third-party rights (including copyright, trademark, privacy, or publicity rights).
  • Contains or promotes explicit sexual content, nudity, or pornography.
  • Depicts or promotes violence, self-harm, hate speech, or discrimination.
  • Violates any applicable laws or regulations.
  • You do not have the legal right to submit or process.

We reserve the right to remove any Content that violates these provisions and may suspend or terminate your account immediately.

4.6 Content Accuracy

Mindli provides AI-generated learning materials including summaries, flashcards, quizzes, and transcriptions. We do not guarantee 100% accuracy of AI-generated content. You should verify critical information when necessary, particularly for academic or professional use.

5. Credit System, Subscriptions, and Payment

5.1 Plans and Credits

Mindli offers free and premium plans. Premium features are available via monthly or annual subscriptions. Each plan includes a specific allocation of credits and chat usage. For current plan details, pricing, and credit allocations, please visit our Pricing (opens in new tab) page.

5.2 Credit System Details

The Service operates on a credit system. Credits are consumed by AI processing actions such as transcription, summarization, flashcard generation, quiz creation, and podcast generation. You acknowledge and agree to familiarize yourself with the credit costs for all features as detailed within the app and on the pricing page.

5.3 Credit Pool and Expiration Policy

The Service uses a unified credit pool. Credits may be purchased via in-app purchase, subscription, or web checkout.

  • Credits received from a subscription will typically expire if the subscription is canceled or not renewed, as specified at the time of purchase.
  • The existing remaining credits from a previous subscription are combined with the credit bundle from the new, active subscription.
  • The entire combined credit pool shall be governed by the expiration terms of the newest, currently active subscription plan.
  • We do not offer refunds for any unused, expired, or non-consumed credits, regardless of subscription changes.
  • Credits purchased individually (non-subscription) will not expire and are consumed first from the credit pool.
  • Credits have no monetary value, are non-transferable, and cannot be redeemed for cash.
  • If an AI processing request fails due to a technical error on our part, the full credit amount for that transaction will be automatically refunded to your account.

5.4 Payment Processing

Payments for Mindli are processed through the following channels depending on how you access the Service:

  • Web (mind.li): All web-based payments and subscriptions are processed through Paddle (paddle.com), our merchant of record. We do not store your full credit card details on our servers.
  • Apple App Store (iOS): If you subscribe or purchase credits through the iOS app, payment is processed by Apple through your Apple ID account, subject to Apple's terms and conditions.
  • Google Play Store (Android): If you subscribe or purchase credits through the Android app, payment is processed by Google through your Google Play account, subject to Google's terms and conditions.

5.5 Subscription Renewal and Cancellation

  • Subscriptions automatically renew unless canceled before the end of the current billing period.
  • For web subscriptions, you may cancel through your account settings on mind.li.
  • For App Store subscriptions, you must cancel through your Apple ID subscription settings.
  • For Google Play subscriptions, you must cancel through Google Play subscription settings.
  • No refunds are provided for partial subscription periods.
  • All purchases are final and non-refundable, except as required by applicable law or the respective app store's refund policy.

6. Account Management and Termination

6.1 Account Deletion

You have the right to permanently delete your account and all associated data via the in-app account deletion feature (Settings > Account Management > Delete Account) or by contacting us at [email protected]. Upon deletion:

  • All uploaded content, notes, AI-generated materials, and learning progress will be permanently removed.
  • Access to all data saved to the cloud will be lost.
  • We are not responsible for any data lost due to account deletion.

6.2 Termination by Us

We reserve the right to suspend or terminate your account at any time for violations of these Terms, abusive behavior, or prolonged inactivity (12 months or more).

7. App Permissions

The Service may request access to device permissions necessary to enable core features, including:

  • Microphone: For recording lectures and voice notes.
  • Camera: For scanning documents or capturing content.
  • Photo Library / Storage: For uploading documents and saving generated materials to your device.
  • Notifications: For spaced repetition reminders and study alerts.

You may revoke these permissions at any time through your device settings, though doing so may limit certain features.

8. Disclaimers and Limitation of Liability

8.1 No Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 Limitation of Liability

To the maximum extent permitted by applicable law, techmaker.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use the Service.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any Content obtained from or generated by the Service.
  • Academic, professional, or other decisions based on AI-generated content.
  • Issues arising from source content quality.

8.3 Maximum Liability

Our maximum aggregate liability to you for any claims arising out of or relating to the Service shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless techmaker.io, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

10. Governing Law

These Terms shall be governed by the laws of the Hashemite Kingdom of Jordan, without regard to its conflict of law principles.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by updating the "Effective Date" at the top of these Terms and through in-app notifications or email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
